Terms & Conditions

Last updated: 30 September 2026

These Terms & Conditions apply to all services provided by Tedku Consulting Pty Ltd (ABN 90 681 974 907) ("Tedku", "we", "us"), registered address 2/31 Elizabeth Street, Doncaster East VIC 3109, Australia. By requesting or paying for our services you agree to them. See also our Refund Policy, Cancellation Policy and Privacy Policy.

1. Our services

We provide (a) business automation consulting, (b) system implementation projects, and (c) Tedku Chat, a cloud-based SaaS platform for customer messaging, CRM and AI-assisted replies, offered on subscription. Service descriptions and prices are shown on our Solutions and Pricing pages or in a written quotation.

2. Quotations, orders and payment

Consulting and implementation work starts after you accept a written quotation. Tedku Chat is ordered by selecting a plan and confirming with us. Prices are in Hong Kong dollars (HKD) unless stated otherwise, and Tedku Chat is billed per the plan (monthly or annual) stated in your plan or quotation. Fees for WhatsApp, Meta and other third-party messaging are billed separately by those providers. Payments are due as set out on the invoice.

3. Refunds and cancellation

Refunds are governed by our Refund Policy and cancellation by our Cancellation Policy. Tedku Chat subscription fees are generally non-refundable once the service has been activated.

4. Tedku Chat: scope and availability

Tedku Chat is a standard SaaS platform, not custom software. Custom development, third-party integrations and API work are not included and may be quoted separately. We make reasonable efforts to keep the service available but do not guarantee uninterrupted operation or a specific uptime unless agreed in writing. Reasonable technical support is included; it does not cover marketing strategy, WhatsApp template approvals or customer data management.

5. Third-party platforms

Some features depend on WhatsApp Business API, Meta and cloud providers. We do not control them, and changes to their policies, APIs or availability may affect functionality. We are not liable for such changes.

6. Client responsibilities and acceptable use

You must comply with the policies of WhatsApp, Meta and any other integrated platform, and applicable law. You must not use our services for spam or unsolicited bulk messaging, fraudulent, misleading or illegal activity, or to bypass platform safeguards. You are responsible for messages sent through your connected accounts and for any suspension, restriction or ban that results.

7. Data

Customer data you store in Tedku Chat remains yours. You are responsible for the legality of the data you collect and use. On termination you have a seven (7) day period to export your data before access is suspended and data may be removed. See our Privacy Policy.

8. AI-generated content

AI replies are automated and may be inaccurate. You should supervise them where needed. We are not liable for decisions or outcomes resulting from AI-generated content.

9. Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect loss, loss of business or revenue, message delivery failures, third-party platform restrictions or temporary interruptions. Our total liability is limited to the fees you paid us in the preceding 12 months. This does not limit rights that cannot be excluded under the Australian Consumer Law.

10. Changes to these terms

We may update these terms by publishing a new version on this page. Changes do not affect a quotation you have already accepted.

11. Governing law

These terms are governed by the laws of Australia, and disputes are subject to the jurisdiction of the courts of Australia.
